- Fund Matters. Drafting and negotiating limited partnership agreements, side letters and subscription documents. Preparing private placement memoranda, supplements and disclosure documents. Monitoring and ensuring compliance with fund documents. Forming and administering SPVs and parallel entities. Drafting and negotiating credit agreements, supervising compliance with credit facilities and maintaining lender relationships. Supervising matters related to the Investment Advisers Act, the ’33 Act, AIFMD and similar rules and regulations. - Investment. Involvement in every aspect of investment process (typical investment structures include debt, asset purchases and equity) including development of transaction structure, review, negotiation and implementation of all transaction documents, coordination with outside counsel as needed and ongoing covenant compliance monitoring. Assisting with and advising on the management of portfolio company relationships, including advising, assisting, and where appropriate, supervising portfolio company general counsel across several countries. Overseeing securities disclosure filings and ’34 Act matters. - General Corporate. Advising Founding Managing Directors and functional department heads on all matters related to the business. Negotiating all contracts and relationships with third parties. Administering ongoing or potential litigation. Supervising general corporate governance. Reviewing and approving all company contracts. Overseeing insurance, litigation, investigations and employment matters. - Compliance. Coordinating with the Chief Compliance Officer and Chief Operating Officer on all regulatory and compliance issues.
