Created legal and operational structure from inception of company. Managed corporate risk through growth to over $26M in revenue with over 25 employees. Acting General Corporate Counsel responsible for all legal and business risk, strategy, contracts, litigation and mediation matters. Develop and maintain internal legal tools and resources for onsite operation teams. Oversee and manage (through the use of outside counsel as needed) all disputes favoring a pre litigation resolution of disputes and minimizing corporate risk exposure. Draft and negotiate contracts including lease agreements, distributorship agreements, business contracts, NDAs, manufacturing and supplier agreements as well as global partnerships. Negotiated and drafted lease agreement for equipment needed in the production of "The Office", coordinating extensively with movie studio and entertainment corporate legal counsel. Works closely with CEO, CFO and management teams to impart legal and business strategy related to product selection, manufacturing, branding and tax matters.
