I am a partner at Michelman & Robinson, LLP, head of the firm's Corporate and Securities Practice Group and Chair of Music Acquisitions and Financing. I practice in the areas of Corporate and Entertainment Law. Some recent work includes: -- Acquisition of an LA-based independent record label; -- Joint venture on behalf of asset manager related to an agriculture-industry investment; -- Fund formation for acquisition of music rights in feature films; -- Venture investment into a mobile telecom infrastructure company; -- Negotiation of a "business divorce" and equity sale on behalf of a partner in a financial services company; -- Executive employment agreement for C-level executive in music publishing company; and -- Advised valuation firm on its commercial agreements with its clients and sub-contractors. My corporate clients have included private equity funds, hedge funds, angel investors and other public and private companies in a broad range of industries, including telecom, e-commerce, defense technologies, energy, toy manufacturing, regulated biologicals, insurance, financial services, outsourcing and retail. I have also represented institutional and individual clients in connection with all aspects of music industry transactions, including reviewing, negotiating and drafting catalog acquisition, joint venture, music publishing, synchronization and master use agreements. In addition, I advise clients and lecture on copyright matters, including copyright termination rights, and conduct copyright due diligence for buyers of copyrights (and related rights) and financial institutions lending against the value of these rights.
