Experience of helping companies with year 1 SoX implementation. • Significant experience with C-suite individuals, Audit Committee and Board members including regular exposure of presenting in various forums to senior executives including CFO and to Audit Committee on audit results, technical topics and audit proposals. • Technical and operational expertise in complex accounting areas like business combination (valuation complexities involved), revenue recognition , convertible debt offerings, debt modifications, equity instruments, leasing, stock compensation, derivatives, discontinued operations, capitalized software, restructuring and income taxes. • Advance exposure of leading transactions or events like carve-out audits, bankruptcy, business acquisitions, debt offering, built-to-suit leases, sale-leaseback, accelerated stock repurchases, restructuring, due diligence, stock option and forensic investigations. • Significant experience of reviewing SEC filings e.g. 10-K, 10-Q, S-1, S-3, S-4, proxy, tender offers, SEC comment letter responses etc.

• Worked with PwC London National Office. • Work on various USGAAP, IFRS and UK GAAP accounting and auditing matters and provide advice to the teams. • Provide consultation on risk management matters including inputs on drafting and interpretation of contracts. • Worked on drafting of Global PwC Audit Guide. • Perform focused reviews of High Profile Clients audit work papers and conduct workshops with team on technical topics, process improvement, effective and efficient audits and project management. • Lead the inspection of select audit client working papers as part of PwC’s global inspection program.

• Worked with clients in the manufacturing, IT, retail and consumer goods, software internet, and other service sector • Tour with Ernst & Young, Atlanta to perform audit of technology (software) clients in year 2005. • Handled statutory audits of financial statements, global reporting and tax audits per Indian GAAP, IFRS, US GAAP. • Worked on special assignments e.g. financial due diligence, debt restructuring, carve out audits.
